Director Masterclass: Powers, duties and liabilities of directors

This virtual session is for new Directors, anyone soon to be appointed to a board or any Directors who would like to brush up on their legal responsibilities.

It will be appropriate for Directors in any sector – private, social enterprise, charity and public.

You will be able to assess your knowledge level in the role of director, including legal and financial responsibilities and learn how to avoid issues that can lead to spectacular corporate governance failures.

This session will be led by IoD tutor, Sheelagh Duffield. Sheelagh is a senior executive and qualified lawyer with over 20 years of board level experience and a successful track record of leading complex projects and transactions in FTSE 100 and 250 companies; private equity owned businesses and public sector organisations. 

Over many years as General Counsel and Company Secretary, Sheelagh has developed a thorough and practical understanding of corporate governance and the effective operation of boards.

Sheelagh has held senior executive roles within the corporate departments of Scottish Power plc; Scottish Television plc and The Miller Group Limited at times when these businesses were delivering extensive strategic and organisational change.  As a result, Sheelagh has a wide range of experience from a variety of sectors encompassing corporate strategy; business planning; risk management; in-house legal; company secretarial and governance practices. 

This event will also feature a panel session with senior directors who will take questions from our virtual audience.

Sheelagh Duffield

Sheelagh is Chair of IndiNature and a non-executive director with The National Theatre of Scotland and Cricket Scotland and a course leader for the Institute of Directors delivering the Role of the Director and the Board which is part of the Chartered Director qualification. She is a corporate governance consultant with Burness Paull, solicitors.

Savendie seeks to build on this experience and aims to provide Chairs of boards, CEOs and senior executives with advice and services to assist with independent board reviews; governance reviews and the design and delivery of strategic transactions such as acquisitions, disposals and IPOs.


Donald Gateley
Regional Director – Scotland & Northern Ireland, Schroders Personal Wealth



Donald joined Schroders Personal Wealth in June 2019 as Head of Region with responsibility for advice delivery and client service in Scotland.  The role also incorporated leadership of SPW’s UK telephony advice operations in London, Bristol, Manchester and Edinburgh. Throughout the establishment of the joint venture, Donald was extensively engaged in supporting the programme charged with the creation of SPW.

In Feb 2020, Donald was appointed Schroders Personal Wealth Regional Director – Scotland & Northern Ireland.  The appointment reflected the ambition of SPW to extend its footprint outwith the UK mainland and recognised Donald’s experience in navigating the opportunities and challenges of operating within a devolved business environment.

As a member of Scottish Financial Enterprise, the Financial Services industry trade body in Scotland, Donald was appointed Chair of SFE’s Wealth Management Group in October 2020.  He has supported the development of SFE’s skills & talent and business schools initiatives and was part of the advisory group responsible for setting SFE’s new 3 year strategy.

Donald joined Lloyds Banking Group’s Wealth Division in June 2013 as Head of Private Banking in Scotland with responsibilities in advice, banking and lending for Bank of Scotland clients.    

As a member of Bank of Scotland’s Executive Committee, Donald represented LBG across all aspects of Scottish business, economic and political engagement.  This included leading the business through the Scottish Independence Referendum in 2014, as ambassador for LBG’s partnership with the School for Social Entrepreneurs and representing the Group in its interaction with both Scottish and UK Government.  With a keen interest in the Third Sector, Donald was appointed Trustee of the Bank of Scotland Foundation from 2016 to 2019.  

Donald joined Bank of Scotland as a graduate trainee in 1987 and enjoyed an extensive career across a range of specialist transactional, corporate, M&A, leadership and Non-Executive Director roles operating across UK and Pan-European geographies.  With well-developed strategic insight and extensive corporate governance capability, he is recognised as an experienced and respected boardroom operator.

Professor Cathy Gormley-Heenan CDir 
The Independent Fiscal Commission NI



Former Deputy Vice-Chancellor at Ulster University and Professor of Politics with research interests and publications that include both UK and devolved public policy and multi-level governance. Currently serves as a board member on UKRI’s Research England and on the UK government’s advisory body on EU Exit, Universities, Research and Innovation among other things.

Cathy has also been recently admitted as an IoD Chartered Director.


Paul Rothwell
CEO, Sliderobes & NED at W&G Baird



Paul has been a company director for 30 years, of which 20 have been at MD/CEO level in four different sectors. An engineer by background, his directorship experience covers manufacturing, food, retail and engineering. He is also a business mentor on both the Invest NI Leaders Programme and for Catalyst Inc Springboard programme for startups, and an angel investor.

Paul has extensive experience of developing strategy, structures, and people at senior levels transitioning into director level.
